These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which the applicable Resolve Ready entity providing the Services is organized, without regard to conflict of law principles.

If Services are provided by a Canadian entity, the laws of the Province of Ontario and the applicable federal laws of Canada shall apply. If Services are provided by a United States entity, the laws of the State in which that entity is organized shall apply.
